निम्नलिखित में से किन्ही दो प्रश्नों का उत्तर दीजिए। सभी के अंक समान है।(Give answer on any two of the following. All have equal marks.)


1-“कम्पनी विधान द्वारा निर्मित एक कृत्रिम व्यक्ति है जिसका पृथक् वैधानिक अस्तित्व होता है। इसे अविच्छिन्न उत्तराधिकार प्राप्त होता है तथा इसकी एक सार्वमुद्रा होती है।” इस कथन की व्याख्या कीजिये तथा कम्पनी की प्रमुख विशेषताएँ बताइये। (“A company is an artificial person created by law having a separate entity with a perpetual succession and a common seal.” Discuss this statement and explain the characteristics of a company.)


2-कम्पनी की विभिन्न सभाओं का संक्षेप में उल्लेख कीजिये। एक वैध सभा के लिये आवश्यक तत्व क्या हैं? (Explain in brief various type of meetings of a company. What are the essential elements of a valid meeting?)


3-कंपनी के समापन से क्या आशय है? कंपनी के समापन और विघटन में अन्तर बताइए। कंपनी के समापन की विभिन्न विधियों की संक्षेप में व्याख्या कीजिये। (What do you mean by Winding-up of a Company? Distinguish between Winding-up and Dissolution. Explain briefly the various methods of Winding-up of a company.)


4-निम्नलिखित में से किन्हीं दो पर संक्षिप्त टिप्पणी लिखिए। सभी के अंक समान है। (Write short notes on any two of the following. All have equal marks.)


5-पार्षद सीमा नियम से आप क्या समझते हैं? एक काल्पनिक कंपनी के संबंध में पार्षद सीमा नियम तैयार कीजिए। (What do you understand by Memorandum of Association? Prepare the Memorandum of Association of a imaginary company.)


6-पार्षद अंतर्नियम से आप क्या समझते हैं? एक काल्पनिक कंपनी के संबंध में पार्षद अंतर्नियम तैयार कीजिए। (What do you understand by Prospectus of a company? Prepare the Prospectus of a imaginary company.)


7-कंपनी के प्रविवरण  से आप क्या समझते हैं? एक काल्पनिक कंपनी के संबंध में पार्षद अंतर्नियम तैयार कीजिए। (What do you understand by Articles of Association? Prepare the Articles of Association of a imaginary company.)


8-सीमित दायित्व साझेदारी से आप क्या समझते हैं भारतीय कंपनी अधिनियम के अंतर्गत सीमित दायित्व साझेदारी के संबंध में वर्णित प्रावधानों का तथ्यात्मक विवरण दीजिए।(What do you understand by Limited Liability Partnership? Give a factual description of the provisions mentioned regarding Limited Liability Partnership under the Indian Company Act.)


9- निजी कंपनी के संबंध में भारतीय कंपनी अधिनियम के अंतर्गत वर्णित विभिन्न प्रावधानों को संक्षेप में बताइए। सार्वजनिक कंपनी तथा निजी कंपनी में भेद भी कीजिए। (Briefly explain the various provisions mentioned under the Indian Company Act regarding private company. Also differentiate between public company and private company.)


10-अंश पूंजी क्या है? विभिन्न प्रकार की अंश पूंजी का वर्णन कीजिए। अंशु तथा ऋण पत्रों में अंतर बताइए।(What is share capital? Describe different types of share capital. Explain the difference between equity and debentures.)


11- कंपनी निदेशक से आप क्या समझते हैं? भारतीय कंपनी अधिनियम में निदेशकों की नियुक्ति तथा योग्यताओं के संबंध में वर्णित विभिन्न प्रावधानों का संक्षेप में वर्णन कीजिए। (What do you understand by company director? Briefly describe the various provisions mentioned in the Indian Companies Act regarding the appointment and qualifications of directors.)


12- कंपनी के अंतर्गत की जाने वाले विभिन्न  सभाओं के बारे में बताइए। कंपनी की वार्षिक साधारण सभा के संबंध में विभिन्न वैधानिक प्रावधानों का संक्षेप में वर्णन कीजिए। (Explain about the various meetings held under the company. Briefly describe the various statutory provisions regarding Annual General Meeting of a company.


13- एक सार्वजनिक कंपनी में अन्याय तथा कुप्रबंध की रोकथाम के लिए भारतीय कंपनी अधिनियम द्वारा किए गए विभिन्न उपाय का संक्षेप में वर्णन कीजिए। (Briefly describe the various measures taken by the Indian Companies Act to prevent injustice and mismanagement in a public company.)


14- कंपनी का अर्थ और प्रकृति बताइए। कंपनियां कितने प्रकार की पाई जाती है?(Explain the meaning and nature of company. How many types of companies are there?)


15- अंशों के हस्तांतरण एवं अंशों के हस्तांकन से आप क्या समझते हैं? इन दोनों में अंतर भी कीजिए। (What do you understand by transfer of shares and transmission of shares? Also differentiate between these two.)
